PAYMENT
All sales are COD or prepaid unless credit is approved. A financecharge will be applied each month on past due accounts computed at therate of 1.5% per month. If legal proceedings are instituted hereunder,the prevailing party shall be entitled to reasonable attorney's feesand court costs incurred therein. All sales are considered final andcomplete after 15 days from date of invoice. No returns for refund will be accepted after 15 days.

On sales outside Germany, all required duties, licenses and fees shall be payable by the BUYER in addition to the stated prices.

SHIPMENT
All shipments will be made F.O.B. shipping point. In the absence ofspecific instructions DWF will select the carrier. Title to thematerial shall pass to the BUYER upon delivery thereof by DWF to the carrier or delivery service.

DELIVERY
Shipping dates are approximate. If conditions arise which prevent compliance of delivery schedules, DWF shall not be liable for any damage or penalty for delay in delivery or the failure to give notice of the delay, and such delay shall not constitute grounds for cancellation. Without limiting the generality of the foregoing, DWF shall not be liable for delay by reason of inability, due to causes beyond its reasonable control, to obtain the necessary labor, materials, or manufacturing facilities, or for delay due to the elements, acts of God, acts of the Purchaser, acts of nonperformance of suppliers, acts of civil or military authorities, priorities, fires, floods, epidemics, quarantine restrictions, war, riot, strikes, differences with workmen, accidents due to machinery, delays in transportation, or any other causes beyond the control of DWF whether or not similar to the foregoing. In such event, delivery dates shall be deemed extended for a period equal to such delay.
